Terms of Use

These Terms of Use (the "Terms") govern your access to and use of the Gathrd iPhone application, the Gathrd web app and browser account experience, the Gathrd ChatGPT integration, the Gathrd share extension, the gathrd.uk website and related helper pages, and related services (together, the "Services").

The Services are provided by Satori Global Ltd. ("Satori", "we", "us", or "our"). By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Eligibility

You must have the legal capacity to use the Services under the laws that apply where you live. If you are under the age at which you can legally agree to these Terms on your own, you may use the Services only with the involvement or permission of a parent or legal guardian where required by applicable law.

Your Account

You may need to create an account to use some or all features of the Services. You agree to:

• provide accurate, current, and complete information;
• keep your account information updated;
• keep your login credentials confidential; and
• be responsible for activity that occurs under your account.

You may sign in using email and password or an approved third-party provider such as Google or Apple. Your use of third-party sign-in services is also subject to those providers' own terms and policies.

The Services may use email verification, password reset, ChatGPT account-linking, Open in Gathrd handoff pages, and related helper pages on gathrd.uk to route account actions into the app, the web app, and connected experiences.

The browser-based Gathrd experience on gathrd.uk lets signed-in users access and manage collections and saved items, including creating, renaming, and deleting collections, importing links, editing imported item details, favouriting items, and deleting items, subject to feature availability.

If you choose to connect Gathrd to ChatGPT, you authorize Gathrd to provide ChatGPT with access according to the scopes you approve. Those scopes may allow ChatGPT to read your collections and saved items, create collections, save retailer links, and maintain the connection between sessions until the connection is revoked, expires, or is terminated.

Licence to Use the Services

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal, non-commercial use.

You may not:

• copy, modify, distribute, sell, lease, sublicense, or reverse engineer the Services, except where law prohibits such restrictions;
• access or use the Services to build a competing service;
• interfere with or disrupt the integrity, security, or performance of the Services; or
• use the Services except as expressly permitted by these Terms.

Ownership and Intellectual Property

The Services, including the app, ChatGPT integration, share extension, website, software, design, layout, branding, logos, text, graphics, and underlying technology, are owned by Satori or its licensors and are protected by intellectual property and other applicable laws.

Except for the limited licence granted in these Terms, we reserve all rights in and to the Services. These Terms do not transfer any ownership rights to you.

User Content and Service Inputs

You may upload, save, submit, or otherwise provide content and inputs through the Services, including collections, collection names, favourites, retailer links, product URLs, notes, images, screenshots, support requests, bug reports, and feature requests. Based on those inputs, the Services may also create or refresh item records that include product titles, prices, currencies, retailer names, images, and related metadata (together with your submitted content, "User Content").

You retain ownership of the content you provide directly, subject to any third-party rights that may apply to external content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, display, adapt, and use User Content as reasonably necessary to operate, maintain, improve, secure, support, and provide the Services.

You are responsible for your User Content and represent that:

• you have the necessary rights to provide it;
• it does not infringe the rights of others;
• it does not violate applicable law; and
• it complies with these Terms.

Acceptable Use and Prohibited Conduct

You agree not to:

• use the Services for unlawful, fraudulent, abusive, or misleading purposes;
• impersonate another person or misrepresent your affiliation with any person or entity;
• upload or submit content that is defamatory, obscene, harassing, hateful, infringing, or otherwise unlawful;
• use the Services to store or process personal data of others without appropriate rights or consent;
• use the Services or connected-account features to access, save, or manipulate data that you are not authorised to access;
• probe, scan, scrape, crawl, or test the vulnerability of the Services or related systems without authorisation;
• use bots, scripts, scrapers, automation, or bulk extraction methods against the Services, including against import, refresh, or website flows;
• misuse the share extension, authentication flows, support channels, bug-reporting tools, or feature-request tools;
• misuse ChatGPT account-linking, OAuth approval flows, open-in-app handoff links, or web-app functionality;
• submit false, misleading, manipulated, or abusive retailer, product, support, or report information;
• upload malicious code, malware, viruses, or harmful content;
• circumvent access restrictions, security features, or usage limits; or
• use the Services in a way that could damage, disable, overburden, or impair the Services or other users' access.

Third-Party Retailers, Websites, and Services

Gathrd is a personal organisation, saving, and product-import tool. It is not a retailer, marketplace, payment processor, fulfilment service, or merchant of record.

The Services may show, save, import, refresh, or link to information from third-party retailers, product pages, sign-in services, analytics providers, ChatGPT/OpenAI, or other external services. We do not control those third parties and are not responsible for their content, pricing, availability, checkout, payment handling, returns, delivery, privacy practices, or terms.

Imported or refreshed product information may be incomplete, stale, unavailable, reformatted, blocked by the source site, or inaccurate, and some imports may fail or require manual review. Any dealings you have with third parties are solely between you and the relevant third party.

No Purchases Through the Services

Gathrd allows you to save and organise product links, images, and related information. It does not process purchases, payments, refunds, or fulfilment.

You are responsible for verifying any product details directly with the relevant retailer before making any purchase outside the Services.

Feedback, Support, and Complaints

If you send us feedback, feature requests, support requests, or bug reports, you agree that we may use that information to operate, support, and improve the Services. Reports and requests may be processed with the help of our service providers.

We will review communications and respond in our discretion, but response times are not guaranteed.

Notice-and-Takedown / Infringement Reports

If you believe content available through the Services infringes your intellectual property rights or otherwise violates applicable law, contact us at support@gathrd.uk with enough detail for us to review the issue.

We may remove, disable, or restrict access to content, or suspend accounts, where we reasonably believe it is appropriate to do so.

Service Availability, Changes, and Suspension

We may change, update, suspend, or discontinue any part of the Services at any time, with or without notice, where reasonably necessary for maintenance, security, legal compliance, product changes, or business reasons.

We do not guarantee that the Services will always be available, uninterrupted, error-free, or compatible with every device, browser, or operating environment. Features such as imports, background refreshes, image uploads, website helper pages, the web app, Open in Gathrd handoff flows, OAuth approval flows, or share-extension flows may not always be available or may depend on third-party systems.

Account Deletion, Suspension, and Termination

12.1Deletion by you

You may delete your account from within the app. The app also includes controls to archive all collections, delete all collections, and export a local JSON copy of collections and saved items. The web app also includes controls for managing and deleting individual collections and items.

Saving or editing content may complete locally on your device before corresponding cloud sync finishes. Account deletion is designed to remove your account and associated saved content from live systems, although limited residual copies may remain for a short period in backups or disaster-recovery systems where reasonably necessary for restoration, security, or legal compliance.

12.2Suspension or termination by us

We may suspend or terminate your access to the Services, or remove content, if:

• you breach these Terms;
• we reasonably suspect fraud, abuse, unlawful conduct, or security risks;
• we are required to do so by law; or
• continuing to provide the Services to you could expose us, other users, or third parties to harm or liability.

12.3Effect of termination

On termination, your right to use the Services stops immediately. Sections that by their nature should survive termination will survive, including sections relating to ownership, intellectual property, disclaimers, limitations of liability, indemnity, governing law, and dispute resolution.

Apple App Store Terms

If you downloaded the app through the Apple App Store, the following also apply:

• the licence granted to you is limited to a non-transferable licence to use the app on Apple-branded products that you own or control, subject to applicable App Store usage rules;
• Apple is not responsible for the app or its content;
• Apple has no obligation to provide maintenance or support services for the app;
• to the maximum extent permitted by law, Apple has no warranty obligation for the app;
• if the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, for the app; and
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you as a third-party beneficiary.

Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, representations, and conditions, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that:

• the Services will be uninterrupted, secure, or error-free;
• any saved, imported, or refreshed third-party product information will be accurate, complete, or current;
• imports, image retrieval, or background refreshes will always succeed; or
• the Services will always meet your specific expectations or requirements.

Limitation of Liability

To the maximum extent permitted by law, Satori and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, goodwill, data, or opportunities, arising out of or related to your use of, or inability to use, the Services.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of:

• £50; or
• the total amount you paid us, if any, in the 12 months before the event giving rise to the claim.

Consumer-law savings

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for:

• death or personal injury caused by negligence;
• fraud or fraudulent misrepresentation; or
• any rights or remedies you may have under mandatory consumer protection laws, including applicable UK consumer law.

Indemnity

To the extent permitted by law, you agree to indemnify and hold harmless Satori and its directors, officers, employees, affiliates, contractors, and licensors from and against claims, liabilities, losses, damages, and expenses, including reasonable legal fees, arising out of or related to:

• your User Content;
• your misuse of the Services;
• your violation of these Terms; or
• your violation of the rights of any third party.

Governing Law and Jurisdiction

These Terms and any non-contractual disputes or claims arising out of or in connection with them are governed by the laws of England and Wales, except where mandatory local law gives you additional protection.

You and Satori agree that the courts of England and Wales will have exclusive jurisdiction, except that this does not limit any rights you may have under mandatory consumer laws in your place of residence.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and may provide additional notice where appropriate.

By continuing to use the Services after updated Terms become effective, you agree to the revised Terms, to the extent permitted by law.

General Terms

• If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect.
• Our failure to enforce a provision is not a waiver of our right to do so later.
• You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
• We may assign these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of assets.
• These Terms, together with our Privacy Policy, form the entire agreement between you and us regarding the Services.
